1. Introduction

The Platform is a private B2B service for verified automobile dealers and partners approved by Kalyani Motors. It enables participation in auctions of pre-owned vehicles inspected and listed by Kalyani Motors True Value.

The Platform is a workflow tool for marketplace discovery, live bidding (including Hot Lane and Open Floor events), award decisions, Account Balance / participation deposits, deal tracking, and RC transfer follow-up. Vehicle handover, statutory documentation, and RTO processes may still be completed with Kalyani Motors according to its business procedures.

2. Eligibility and Access

Access is restricted to authorized business users.

To use the Platform you must:

• Be an automobile dealer or partner approved by Kalyani Motors.
• Complete application and onboarding (profile, KYC documents, and password) as required.
• Maintain an active membership / participation status where required, and sufficient Available Account Balance to join events that require a participation deposit.
• Use the Platform only for legitimate business purposes.

You may submit an access application through the Platform. Approval, rejection, suspension, or revocation of access remains at Kalyani Motors’ sole discretion. Access to bidding may be withheld until verification, membership, and balance requirements are met.

3. User Accounts

You are responsible for maintaining the confidentiality of your login credentials.

You agree that you will:

• Not share your account or credentials with any other person.
• Notify Kalyani Motors immediately if you suspect unauthorized access.
• Be responsible for all activity performed through your account, including bids, award decisions, and payments.

4. Onboarding and KYC

Kalyani Motors may require business and identity information, including company details, contact information, address, PAN, GSTIN, Aadhaar, photographs or scans of documents, and other records needed for verification.

You warrant that information and documents you submit are true, complete, and current. Providing false or misleading KYC information may result in denial or termination of access.

5. Vehicle Listings and Marketplace

Vehicles shown on the Platform:

• Are pre-owned vehicles listed for dealer auction.
• Are generally inspected through Kalyani Motors True Value, subject to the inspection materials provided for that listing.
• May appear in Live, Upcoming, or Closed events, including Hot Lane (one lot at a time) and Open Floor (multiple lots open together).

Specifications, photographs, inspection notes, and related details are provided to help you bid. You should review listing information carefully. Kalyani Motors may correct listing errors or withdraw a vehicle at any time.

6. Bidding Rules

By participating in an auction, you agree that:

• Binding nature: Every bid is final and represents a genuine intention to purchase. Once placed, a bid cannot be withdrawn, cancelled, or modified.
• Ethical conduct: You shall not place fake, collusive, fraudulent, or manipulated bids, or use bots or unauthorized automation.
• Participation deposits: Joining an event may require a hold or debit against your Account Balance. Unreleased holds and outstanding charges may affect your ability to bid.
• Allocation discretion: Being the highest bidder does not automatically guarantee allocation. Final award rests with Kalyani Motors.
• Invalidation: Kalyani Motors may reject, cancel, or invalidate bids or auctions if irregular, fraudulent, or technical issues are detected.

7. Awards, Holds, and Decisions

If you are selected, an award may appear as Action Required on your dashboard. You must accept or decline within the stated time. Missing the deadline may forfeit the opportunity and may result in charges or forfeiture of amounts held, as shown in the award terms at the time of decision.

• Award screens may show vehicle price, booking amount, GST, RC transfer charges, additional charges, and remaining payable.
• Accepting an award creates a deal that you must complete according to the payment and documentation milestones shown in the Platform.
• Declining or failing to accept may attract a charge deducted from held funds, as disclosed before you confirm.

8. Account Balance and Payments

The Platform provides an Account Balance used for participation deposits, holds, booking adjustments, charges, and related dealer payments. You may add funds using the online payment methods offered in the Platform, subject to availability.

• Successful payments credit your Account Balance after verification. If an amount is debited but verification is pending, do not retry the same payment; contact support.
• Convenience or processing charges may apply by payment mode. The amount confirmed at checkout is the amount you authorize.
• Held amounts are not Available Balance until released. Outstanding charges may need to be cleared before further participation.
• Withdrawal requests, if offered, are subject to review, eligibility, and settlement timelines. Kalyani Motors may reject or delay withdrawals for compliance, unpaid dues, or suspected misuse.
• Payment details entered at checkout are processed by the payment service used for that transaction. Transaction references and payment status are stored to operate your Account Balance.

Completing the vehicle purchase may still require offline payment milestones, documentation, and RTO steps with Kalyani Motors in addition to amounts handled through Account Balance.

9. Deals and RC Follow-up

After you accept an award, the Platform tracks deal progress, payments, cancellation requests (where available), and RC transfer follow-up. Status shown in the Platform is operational information and does not replace statutory registration records.

You must cooperate promptly with documentation, inspections, and payments required to close the deal. Cancellation or delay may attract charges as disclosed in the deal or award terms.

10. Platform Misuse

You agree not to:

• Attempt unauthorized access to the Platform or related systems.
• Interfere with auctions, payments, or other users.
• Use bots, scripts, or other unauthorized bidding methods.
• Manipulate auction results or Account Balance activity.
• Upload malware or unlawful content.
• Use the Platform for any unlawful purpose.

11. Suspension or Termination

Kalyani Motors may suspend, restrict, or terminate access, with or without prior notice, if you:

• Violate these Terms.
• Engage in fraudulent or unethical bidding or payment practices.
• Share credentials or misuse KYC or listing information.
• Fail to complete awarded deals or outstanding charges.
• Compromise the integrity or security of the Platform.

Upon termination, your right to use the Platform ceases. Amounts held or outstanding remain subject to Kalyani Motors’ settlement process.

12. Data Collection and Sharing

Kalyani Motors collects, stores, and processes information as described in the Privacy Policy, including KYC, bidding, award, deal, RC, and payment metadata. By using the Platform you consent to that processing. Payment and other service providers receive only what is needed to operate the service.

13. Intellectual Property

Logos, trademarks, software, vehicle information, images, and interface design are the property of Kalyani Motors Private Limited or its licensors.

You may not copy, distribute, or use Platform content without prior written permission, except as needed to use the Platform for your authorized business.

14. Limitation of Liability

To the fullest extent permitted by law, Kalyani Motors is not liable for indirect, incidental, consequential, special, or business losses arising from:

• Access or inability to access the Platform.
• Auctions, awards, deals, or RC outcomes.
• Gateway delays, failed payments, or network issues.
• Actions or omissions of third parties, including payment services.

The Platform is provided on an “as available” basis without guarantee of uninterrupted or error-free operation.

15. Governing Law

These Terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

16. Changes to these Terms

We may update these Terms at any time. Changes take effect when published on this site or within the Platform.

Continued use after publication constitutes acceptance of the revised Terms.
