1. Introduction

The Kalyani Motors Dealers Platform is a private mobile application operated by Kalyani Motors Private Limited.

The App enables authorized and verified automobile brokers and dealers to participate in bidding for pre-owned vehicles inspected and listed by Kalyani Motors True Value.

The App is intended solely for auction bidding purposes. It does not facilitate online payments, payment collection, or financial transactions.

2. App Usage

Access to the App is restricted to authorized users only.

To use the App, you must:

• Be a verified automobile broker or dealer approved by Kalyani Motors.
• Have received official login credentials issued by Kalyani Motors.
• Use the App only for legitimate business purposes.

User accounts are created and managed exclusively by Kalyani Motors. Self-registration is not permitted.

Kalyani Motors reserves the right to approve, reject, suspend, or revoke access to any user at its sole discretion.

3. User Accounts

You are responsible for maintaining the confidentiality of your login credentials.

You agree that you will:

• Not share your account or login credentials with any other person.
• Notify Kalyani Motors immediately if you suspect unauthorized access to your account.
• Be responsible for all activities performed through your account.

4. Vehicle Listings

All vehicles listed on the App:

• Are pre-owned vehicles.
• Have been inspected through Kalyani Motors True Value.
• Are displayed solely for auction bidding purposes.

Vehicle information, specifications, photographs, and related details are provided for reference during the bidding process.

5. Bidding Rules

By participating in any auction conducted through the App, you agree that:

• Binding Nature: Every bid submitted is final and represents a genuine intention to purchase the vehicle. Once a bid is placed, it cannot be withdrawn, cancelled, or modified.
• Ethical Conduct: Users shall not place fake, misleading, collusive, fraudulent, or manipulated bids. Any attempt to manipulate or interfere with the auction process may result in immediate suspension or permanent termination of access.
• Invalidation Rights: Kalyani Motors reserves the right to reject, cancel, or invalidate any bid if suspicious, irregular, or fraudulent activity is detected.
• Allocation Discretion: Being the highest bidder does not automatically guarantee allocation of the vehicle. The final decision regarding the successful bidder rests solely with Kalyani Motors.

6. Auction Rights

Kalyani Motors reserves the right to:

• Cancel any auction before its completion.
• Reject any bid without assigning any reason.
• Withdraw any vehicle from auction at any time.
• Correct listing errors, technical issues, or administrative mistakes.

Determine the successful bidder in accordance with its internal business policies and procedures.

7. No Online Payments

The App does not collect payments, process online transactions, or store payment information.

Any payment, documentation, ownership transfer, or settlement relating to a vehicle shall be handled separately by Kalyani Motors in accordance with its internal business procedures.

8. App Misuse

You agree not to misuse the App, including but not limited to:

• Attempting to gain unauthorized access to the App or its related systems.
• Interfering with or disrupting the operation of the App.
• Using automated tools, bots, scripts, or other unauthorized methods to place bids.
• Attempting to manipulate auction results or bidding activity.
• Uploading or transmitting malicious software or harmful code.
• Using the App for any unlawful or unauthorized purpose.

9. Suspension or Termination

Kalyani Motors reserves the right to suspend, restrict, or permanently terminate your access to the App, with or without prior notice, if you:

• Violate these Terms and Conditions.
• Engage in fraudulent or unethical bidding practices.
• Share your login credentials with unauthorized persons.
• Misuse the App or its information.
• Attempt to compromise the integrity, security, or fairness of the auction process.

Upon termination, your right to use the App will immediately cease.

10. Data Collection and Sharing

Kalyani Motors may collect, store, and process personal information in accordance with our Privacy Policy.

By using the App, you consent to the collection, storage, use, and sharing of your personal information as described in the Privacy Policy.

Kalyani Motors may share your information with authorized service providers or business partners only where necessary to provide services associated with the App.

11. Intellectual Property

All content available within the App, including but not limited to: Logos, Trademarks, Branding, Software, Vehicle information, Images, Graphics, User interface, and Designs is the exclusive property of Kalyani Motors Private Limited or its licensors and is protected by applicable intellectual property laws.

No content from the App may be copied, reproduced, distributed, modified, or used without prior written permission from Kalyani Motors.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Kalyani Motors shall not be liable for any indirect, incidental, consequential, special, or business losses arising out of or related to:

• Your access to or inability to access the App.
• Participation in auctions conducted through the App.
• Technical interruptions, software failures, or network issues.
• Any actions or omissions of third parties.

The App is provided on an "as available" basis without any guarantee of uninterrupted or error-free operation.

13. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.

14. Changes to Terms and Conditions

Kalyani Motors reserves the right to modify or update these Terms and Conditions at any time without prior notice. Any changes will become effective immediately upon publication within the App.

Your continued use of the App following any such changes constitutes your acceptance of the revised Terms and Conditions.
